I'm hoping to get some input from a group of experts. I am currently employed at Company X. I have a good position, but I find myself stagnating due to the circumstances at Company X. After a job search, I was offered a position at Company Y, which seems like a great opportunity under normal circumstances.
So I tell Company X that I am going to leave and my boss tells me that Company X has immediate plans to sell my business unit, and I am a critical resource for the selling process - and for the potential buyer. As a result they have offered me a substantial stay bonus - with the potential of negotiating an additional retainment bonus with the buyer - or a severance package if I choose not to go with the company.
The problem is, Company X is just starting the divestiture process - which could take anywhere from 3-12 months, and by that time Company Y will have given the position to another candidate. Here are my input variables...

Total Potential Compensation : $233000 (includes one time stay bonus)

Work location : ~ 1hr commute

Company Y
Total Potential Compensation : $153000
Travel : High
Benefits : Good
Work location : Home (when not traveling)

Job Security : Med - Good
Job Satisfaction : Med - Good
